Inside the boardroom A McKinsey survey of 200 directors sitting on some 500 boards shows what directors think about the demand for governance reform sweeping through corporate America. These directors' opinions on topics ranging from how well boards understand risk and performance to how involved they should be in running companies—along with comments from 50 interviews conducted with directors, investors, and governance experts—show why achieving successful reform is harder than it might seem.
The take-away: McKinsey’s survey of corporate directors shows that for all the forces pushing boards toward governance reform, equally strong forces hold them back.
